NOTICE OF SPECIAL RESOLUTION OF
THE GLACIER GYMNASTICS CLUB
(the “Society”)
WHEREAS a meeting of the members of GLACIER GYMNASTICS CLUB is scheduled to be held on DECEMBER 3, 2024, at 6:00 PM at Glacier Gymnastics Club, 719 VERNON STREET;
AND WHEREAS it is proposed to amend Section 11.02 of the society bylaws;
CURRENT BYLAWS
Section 11.02 Agents and Employees.
The Board may appoint such agents and engage such employees as it shall deem necessary from time to time and such persons shall have such authority and responsibilities, and shall receive such remuneration, as the Board shall from time to time determine.
PROPOSED AMENDMENT TO SECTION 11.02:
Section 11.02 Agents and Employees.
The Board may appoint such agents and engage such employees as it shall deem necessary from time to time and such persons shall have such authority and responsibilities, and shall receive such remuneration, as the Board shall from time to time determine. In no event shall a member of the Board be employed in or appointed by the Board to a management position with Glacier Gymnastics until the expiry of a period of 5 years from such person's last date of service as a member of the Board.
BE IT RESOLVED THAT Section 11.02 of the society bylaws be amended as proposed above, and that this amendment shall come into effect upon its filing with the appropriate regulatory authority.
AND FURTHER RESOLVED that this resolution be passed by a majority of at least 75% of the votes cast.
Note: If passed, the proposed amendment will not take effect until it has been properly filed within a reasonable time frame with the appropriate regulatory authority, in accordance with the BC Societies Act. Until this filing has been completed and approved, the current version of the bylaws will remain in effect.

BE IT RESOLVED THAT LAUREN PENFOUND be removed as a director of GLACIER GYMNASTICS CLUB effective immediately upon the passing of this resolution.
AND FURTHER RESOLVED that this resolution be passed by a majority of at least 75% of the votes cast.
